Software License and Service Agreement
[Important Notice]
[Guangzhou Qian Gui IoT Technology Co., Ltd.] (hereinafter referred to as "V720") hereby specifically reminds
users to carefully read and fully understand this "Software License and Service Agreement" (hereinafter
referred to as "this Agreement"). Users should carefully read and fully understand each clause in this
Agreement, especially those involving exemption or limitation of V720's liability, dispute resolution, and
applicable law. Clauses exempting or limiting liability will be bolded for your attention. Please read
carefully and choose to accept or not accept this Agreement (minors should read under the supervision of
their legal guardians). Your downloading, installation, use of this software, and account acquisition and
login will be deemed as acceptance of this Agreement, and you agree to be bound by all terms of this
Agreement.
V720 reserves the right to revise this Agreement, and the updated agreement terms will be published on the
official website or software, effective from the date of publication. Users can re-download and install the
software or check the latest version of the agreement terms on the website. If users do not accept the
modified terms after V720 modifies this Agreement, please immediately stop using the "V720" software and
services provided by V720. Continued use of the "V720" software and services provided by V720 will be deemed
as acceptance of the modified agreement.
I. General Provisions
1.1.
This Agreement is an agreement between you (hereinafter also referred to as "user") and V720 and its
operating partners (hereinafter referred to as "partners") regarding the user's downloading, installation,
use of V720's "V720" software (hereinafter referred to as "this Software") and the use of V720's related
services.
1.2.
This Software and services are software and services provided by V720 installed on mobile smart terminal
devices including but not limited to, providing services such as binding and operating smart products for
users of such smart terminals.
1.3. The ownership and operation rights of this Software and services
belong to V720.
II. Scope of Software Authorization
2.1. V720 grants the user a personal, non-transferable,
non-sublicensable, and non-exclusive license to this Software.
2.2.
The user may install, use, display, and run this Software on a single mobile terminal device for
non-commercial purposes. However, the user shall not install, use, or run this Software for commercial
operation purposes, nor copy, change, modify, hook, or create any derivative works on this Software or the
data released to any terminal device memory during the Software's operation, or the interaction data between
the client and server during the Software's operation. Forms include but are not limited to using plug-ins,
hacks, or unauthorized third-party tools/services to access this Software and related systems. If commercial
sales, copying, and distribution are required, such as software pre-installation and bundling, written
authorization and permission from V720 must be obtained.
2.3.
The user shall not install this Software on other terminal devices not explicitly permitted by V720 without
V720's permission, including but not limited to set-top boxes, game consoles, televisions, DVD players, etc.
2.4.
The user may make one copy of this Software for the purpose of using this Software and services, solely for
backup purposes. The backup copy must contain all copyright information contained in the original software.
2.5.
Except as expressly authorized in this Agreement, V720 does not grant the user any other rights. If the user
uses other rights, written consent from V720 must be obtained separately.
III. Acquisition, Installation, and Upgrade of Software
3.1.
The user shall download and install this Software product according to V720's designated website or
designated method. Beware of downloading this Software from non-designated websites to avoid mobile terminal
devices being infected with malicious programs that can destroy user data and obtain user privacy
information. If the user obtains this Software or installation programs with the same name from unauthorized
third parties, V720 cannot guarantee the normal use of the software and shall not be responsible for any
losses caused thereby.
3.2.
The user must select the version of this Software that matches the installed terminal device; otherwise, any
software issues, device issues, or damages caused by the mismatch between the software and device model shall
be borne by the user.
3.3.
To improve user experience and perfect service content, V720 has the right to provide you with replacement,
modification, or upgrade versions of this Software from time to time, and also has the right to charge fees
for replacement, modification, or upgrades, but will obtain your consent in advance for charging. This
Software enables the "upgrade prompt" function by default for users. Depending on the software version used
by the user, V720 provides users with the option to enable this function. After a new version of the software
is released, V720 does not guarantee the continued availability of old versions.
IV. Usage Specifications
4.1. While complying with laws and this Agreement, the user may use this
Software and services in accordance with this Agreement, and the user shall not engage in the following
behaviors:
• 4.1.1.
Deleting all copyright information on this Software and other copies, and modifying, deleting, or
circumventing technical measures set by this Software to protect intellectual property rights;
• 4.1.2. Reverse engineering this Software, such as disassembly,
decompilation, or other attempts to obtain the source code of this Software;
• 4.1.3.
Modifying or forging instructions and data during software operation to add, delete, or change the functions
or operation effects of the software, or operating or disseminating to the public software or methods used
for the above purposes, regardless of whether these behaviors are for commercial purposes;
• 4.1.4.
Using this Software to engage in any behavior that endangers network security, including but not limited to:
using unauthorized data or entering unauthorized servers/accounts; entering public networks or others'
operating systems without permission and deleting, modifying, or adding stored information; attempting to
probe, scan, or test the weaknesses of this Software's system or network or other behaviors that destroy
network security without permission;
Attempting to interfere with or disrupt the normal operation of this Software system or website,
intentionally spreading malicious programs or viruses, and other behaviors that destroy or interfere with
normal network information services; forging TCP/IP packet names or partial names;
• 4.1.5.
Users logging in or using this Software and services through third-party compatible software or systems not
developed, authorized, or recognized by V720, or creating, publishing, or disseminating the above tools;
• 4.1.6.
Without V720's written consent, users shall not independently engage in the following behaviors on the
software and its information, including but not limited to: using, renting, lending, copying, modifying,
linking, reprinting, compiling, publishing, establishing mirror sites, or unauthorized development of
derivative products, works, services, plug-ins, hacks, compatibles, interconnections, etc., related to this
Software;
• 4.1.7. Using this Software to publish, transmit, disseminate, or store
content that violates local laws and regulations;
• 4.1.8. Using this Software to publish, transmit, disseminate, or store
content that infringes on others' intellectual property rights, trade secrets, and other legitimate rights;
• 4.1.9. Using this Software to publish, transmit, or disseminate
advertising information and spam in bulk;
• 4.1.10.
Other behaviors using this Software and other services provided by V720 in any illegal manner, for any
illegal purpose, or in any manner inconsistent with the licensed use of this Agreement;
4.2. Information Publishing Specifications

4.2.1. You may use this Software to publish views, opinions, data, text, information, usernames, pictures,
photos, personal information, audio, video files, links, and other information content that belongs to your
original work or that you have the right to publish. You must ensure that you own the intellectual property
rights to the uploaded information content or have obtained legal authorization, and that any behavior of
using this Software and services does not infringe on the legitimate rights of any third party.
• 4.2.2. When using this Software, you must comply with local legal
requirements.
4.2.3. When using this Software, you shall not use this Software to
engage in the following behaviors, including but not limited to:
4.2.3.1. Creating, copying, publishing, disseminating, or storing
content that violates local laws and regulations;
4.2.3.2. Publishing, transmitting, disseminating, or storing content
that infringes on others' right of reputation, portrait rights, intellectual property rights, trade secrets,
and other legitimate rights;
4.2.3.3. Fabricating facts or concealing the truth to mislead or deceive
others;
4.2.3.4. Publishing, transmitting, or disseminating advertising
information and spam;
4.2.3.5. Engaging in other behaviors that violate local laws and
regulations.
4.2.4. Without V720's permission, you shall not engage in any commercial
behaviors such as publishing advertisements or selling goods in this Software.
4.3. You understand and agree:
• 4.3.1.
V720 will determine whether the user is suspected of violating the above usage specifications and suspend or
terminate your usage license or take other restriction measures that can be taken in accordance with this
Agreement based on the determination results;
• 4.3.2.
For information published by users using the licensed software that is suspected of being illegal or
infringing on others' legitimate rights or violating this Agreement, V720 will directly delete it;
• 4.3.3.
For damages caused to third parties by the user's violation of the above usage specifications, you need to
bear legal liability independently in your own name and ensure that V720 is exempted from any losses or
increased costs arising therefrom;

4.3.4. If the user violates relevant legal provisions or agreement stipulations, causing V720 to suffer
losses, or being claimed by third parties, or being penalized by administrative authorities, the user shall
compensate V720 for the losses caused thereby and/or the expenses incurred, including reasonable attorney
fees and investigation and evidence collection fees.
V. Service Risks and Disclaimer
5.1.
The user must equip the mobile terminal device with the necessary equipment for internet access and use of
telecommunications value-added services, and bear the relevant fees such as communication fees and
information fees charged by personal mobile terminal device internet access or third parties (including but
not limited to telecommunications or mobile communication providers). If telecommunications value-added
services are involved, we suggest you confirm the relevant fee issues with your telecommunications
value-added service provider.
5.2.
For all losses suffered by the user due to third parties such as communication line failures, technical
issues, networks, mobile terminal device failures, system instability, and other force majeure reasons, V720
and its partners shall not be liable.
5.3.
Like most internet software, this Software may be disturbed by various security issues due to differences in
factors including but not limited to user reasons, network service quality, and social environment, such as
others using the user's information to cause harassment in real life; other software downloaded and installed
by the user or other websites visited containing "Trojan horses" and other viruses, threatening the security
of the user's terminal device information and data, and subsequently affecting the normal use of this
Software, etc. Users should strengthen information security and user data protection awareness, and pay
attention to strengthening password protection to avoid losses and harassment.
5.4.
When the user uses this Software or requests V720 to provide specific services, this Software may call
third-party systems or third-party software to support the user's use or access. The results of use or access
are provided by the third party, and V720 does not guarantee the security, accuracy, effectiveness, and other
uncertain risks of the results achieved through third-party systems or third-party software support. V720
shall not be liable for any disputes and damages arising therefrom.
5.5.
V720 specifically reminds users that to ensure the autonomy of the company's business development and
adjustment, V720 has the right to modify or suspend services at any time without notifying users, and V720
shall not be liable to users or any third parties when exercising the right to modify or suspend services.
5.6.
Except where clearly stipulated by laws and regulations, we will make our best efforts to ensure that the
software and the technology and information security involved are safe, effective, accurate, and reliable,
but limited by current technology, users understand that V720 cannot guarantee this.
5.7.
For personal injury or incidental, indirect economic damage compensation caused by or related to any of the
following circumstances by the user, including but not limited to compensation for profit losses, data
losses, business interruptions, and other commercial damage compensation or losses, shall be borne by the
user:
• 5.7.1. Using or failing to use the licensed software;
• 5.7.2. Third parties using the software or altering user data without
permission;
• 5.7.3. Costs and losses arising from the user's behaviors using the
software;
• 5.7.4. User's misunderstanding of the software;
• 5.7.5. Other losses related to the software not caused by V720.
5.8.
For behaviors between the user and other users using the software through the software, any personal or
economic injuries or losses caused or potentially caused by you being misled or deceived shall be borne by
the offending party in accordance with the law.
VI. Intellectual Property Statement
6.1.
V720 is the intellectual property rights holder of this Software. All copyrights, trademarks, patents, trade
secrets, and other intellectual property rights of this Software, as well as all information content related
to this Software (including but not limited to text, pictures, audio,
video, charts, interface designs, layout frameworks, related data or electronic documents, etc.) are
protected by the local laws and regulations and corresponding international treaties where you are located,
and V720 enjoys the above intellectual property rights.
6.2
Without V720's written consent, users shall not independently or permit any third party to exercise, utilize,
or transfer the above intellectual property rights for any commercial or non-commercial purposes, and V720
reserves the right to pursue legal liability for the above behaviors.
VII. Agreement Changes
7.1.
V720 has the right to modify the terms of this Agreement when necessary. Once the terms of the Agreement are
changed, the modified terms of the Agreement will be published on the relevant pages. If you do not agree
with the changed content, you should proactively cancel this service. If you continue to use the service, you
will be deemed to have accepted the changes to the terms of the Agreement.
7.2.
V720 and partner companies have the right to modify or change the paid services, fee standards, payment
methods, service fees, and service terms provided as needed. When providing services, V720 may now or in the
future charge certain fees to some service users. If you refuse to pay such fees, you cannot continue to use
the relevant services after the charging begins. V720 and partner companies will make their best efforts to
notify users of relevant modifications or changes via email or other means.
VIII. Applicable Law and Dispute Resolution
8.1.
The effectiveness and interpretation of the terms of this Agreement shall be governed by the laws of the
Mainland of the People's Republic of China. In the absence of relevant legal provisions, international
commercial practices and/or commercial practices shall be referred to.
8.2. The place of signing this Agreement is Haidian District, Beijing.
8.3. The user and V720 agree that any disputes arising from this service shall be resolved through
negotiation, and if negotiation fails, either party may submit to the court with jurisdiction at the place of
signing this Agreement for litigation resolution.
IX. Others
9.1.
When using a specific service of this Software, the service may have separate agreements, related business
rules, etc. (hereinafter collectively referred to as "separate agreements"). Please read and agree to the
relevant separate agreements before using the service.
9.2. This Agreement takes effect on March 13, 2018.
9.3. The titles of all clauses in this Agreement are for reading
convenience only and have no actual meaning in themselves, and cannot be used as the basis for interpreting
the meaning of this Agreement.
9.4. Regardless of the reason, if any clause of this Agreement is
partially invalid or unenforceable, the remaining clauses shall remain valid and binding on both parties.
